The Nominating Committee, whose members are currently Joel L. Gold, Harvey Ross and Seymour G. Siegal,

 1. identifies individuals qualified to become Board members and selects or recommends that the Board of Directors select, the director nominees for the next annual meeting of shareholders, and

 2. oversees the selection and composition of the Board of Directors and, as applicable, oversees management continuity planning processes.
