The Audit Committee, whose members currently are Joel L. Gold, Harvey Ross and Seymour G. Siegal, recommends the selection of the Company’s independent auditors, receives reports from such independent auditors on any material recommendations made to management, and reviews, with the auditors, any material questions or problems with respect to the accounting records, procedures or operations of the Company which have not been resolved to their satisfaction after having been brought to the attention of management. Mr. Siegel is our “audit committee financial expert”.
